Terms of Service

Welcome to XYROS. These Terms of Service (“Terms”) govern your access to and use of xyros.net and the products, platforms, software, automation solutions, professional services, and other services provided by XYROS LLC (“XYROS,” “we,” “us,” or “our”).

These Terms establish the general conditions that apply when you access our website, communicate with us, create or use an account, purchase or subscribe to a XYROS service, or otherwise use our services.

Certain XYROS products or services may be subject to additional service-specific terms, order forms, proposals, or executed service agreements. These additional terms form part of your agreement with XYROS when applicable.

If there is a conflict between these Terms and a separately executed Service Agreement, Order Form, or other written agreement between you and XYROS, the separately executed agreement will control with respect to that conflict.

Service-Specific Terms

NOVA CRM & Automation Services — CRM software, customer and lead management, sales pipelines, forms, appointment scheduling, business communications, email and SMS automation, workflow automation, integrations, reporting, and related implementation and support services.

Additional XYROS products and services may be added to these Terms or governed by separate supplemental terms as they become available.

Summary of Terms

  • Acceptance: By accessing or using XYROS websites or services, you agree to the applicable Terms.

  • Service Agreements: Certain paid services may require a separate Service Agreement or Order Form.

  • Subscriptions: Some XYROS services are provided through recurring subscriptions.

  • Usage Charges: Telecommunications, messaging, email, AI, third-party services, and other usage-based features may incur additional charges.

  • Client Responsibilities: Customers are responsible for authorized use of their accounts, information, content, legal compliance, and required third-party permissions.

  • Third-Party Services: XYROS services may integrate with independent platforms and providers.

  • Communications: Email and SMS communications are subject to applicable consent requirements and opt-out rights.

  • Privacy: Personal information is handled according to the XYROS Privacy Policy.

  • Service Availability: Features may depend on third-party systems, integrations, telecommunications providers, or other external services.

  • No Guaranteed Results: XYROS does not guarantee specific sales, revenue, leads, business results, or uninterrupted service.

  • Governing Law: These Terms are governed by the laws of the Commonwealth of Massachusetts, subject to applicable law.

1. Acceptance of Terms

By accessing or using the XYROS website, platform, products, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable service-specific terms or agreements.

If you are using XYROS on behalf of a business or organization, you represent that you have authority to bind that entity to the applicable terms.

If you do not agree to these Terms, you must not use the applicable XYROS services.

 
 
 

2. Eligibility and Account Authority

 
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use paid XYROS services.
You are responsible for maintaining accurate account information, protecting account credentials, controlling authorized users, and promptly notifying XYROS of suspected unauthorized access.

 
 
 

3. XYROS Services

 
XYROS provides technology, software, automation, implementation, integration, consulting, and related business services. Features, functionality, availability, and service requirements may vary by product, subscription plan, Service Agreement, or Order Form.
XYROS may improve, modify, replace, or discontinue features when reasonably necessary to maintain, secure, improve, or develop its services, subject to applicable contractual obligations.

 
 
 

4. Service Agreements and Order of Precedence

 
Certain XYROS services may require a Service Agreement, proposal, Order Form, statement of work, or other written agreement.
If there is a conflict between documents, the terms specifically agreed to in a separately executed agreement will control over these general Terms only with respect to the conflicting provision and applicable service.

 
 
 

5. NOVA CRM & Automation Services

 
NOVA is XYROS’s CRM and business automation service designed to help businesses manage leads, customer communications, appointments, sales processes, follow-up activities, and related business operations.

Depending on the customer’s selected plan and Service Agreement, NOVA services may include CRM configuration, sales pipelines, forms, appointment scheduling, automated workflows, email and SMS communications, business phone functionality, missed-call responses, website chat, review automation, reporting, integrations, and related implementation and support services.

The specific features, limits, support levels, implementation services, and other deliverables included with a customer’s NOVA subscription are determined by the applicable plan, Service Agreement, Order Form, or other written agreement with XYROS.

 
 
 

6. Implementation and Client Cooperation

 
NOVA may require information, approvals, content, account access, domain or DNS changes, third-party integrations, business information, or other materials from the customer before implementation can be completed.

Customers are responsible for providing accurate information and reasonably timely access, approvals, and cooperation necessary for XYROS to configure and maintain the services.

Implementation timelines are estimates unless expressly guaranteed in a written agreement. Delays caused by missing information, customer approvals, third-party providers, platform reviews, carrier approvals, domain configuration, or circumstances outside XYROS’s reasonable control may affect the implementation timeline.

 
 

 
7. Automations and Customer Communications

 
NOVA may automate business activities including lead follow-up, appointment reminders, customer communications, pipeline updates, notifications, and other configured processes
.
Customers remain responsible for the business communications sent on their behalf and for ensuring that their use of email, SMS, calling, marketing, and automated communications complies with applicable laws, regulations, consent requirements, and industry rules.
 
XYROS may suspend or limit messaging or communication functionality when reasonably necessary to address suspected spam, abuse, compliance violations, excessive complaint rates, provider restrictions, or risks to platform or sending reputation.

 
 



8. Third-Party Platforms and Integrations

 
NOVA may rely on or integrate with third-party platforms and infrastructure, including telecommunications providers, payment processors, email providers, calendar services, advertising platforms, domain providers, and other software services.
XYROS does not control these independent third-party services and cannot guarantee their continuous availability, functionality, pricing, policies, approvals, or performance.
Changes, outages, restrictions, account suspensions, API modifications, or other actions by third-party providers may affect certain NOVA features. XYROS will use commercially reasonable efforts to assist with issues involving integrations configured by XYROS but is not responsible for failures caused solely by third-party systems outside XYROS’s reasonable control.

 
 


9. Fees, Subscriptions, and Billing

 
Certain XYROS services, including NOVA, are provided on a recurring subscription basis and may also include one-time setup, implementation, or other fees.
By purchasing a subscription, you authorize XYROS and its payment processor to charge the payment method provided for applicable setup fees, recurring subscription fees, usage-based charges, and other amounts authorized under your Service Agreement or Order Form.

Recurring subscription fees will be charged according to the billing cycle established at the time of purchase. Unless otherwise stated in writing, subscriptions automatically renew until canceled in accordance with the applicable cancellation terms.

Customers are responsible for maintaining a valid payment method and accurate billing information.

 
 



10. Usage-Based Charges


Certain features may generate charges based on actual usage. These may include, depending on the services used, phone calls, phone numbers, SMS or MMS messaging, email delivery, artificial intelligence services, telecommunications services, premium integrations, or other third-party usage.

Usage-based charges may be billed separately from the recurring subscription fee and may vary based on actual consumption and third-party provider rates.

Unless expressly included in a Service Agreement or plan, a subscription should not be interpreted as providing unlimited third-party usage.

 
 



11. Failed Payments

 
If a payment fails, XYROS may attempt to process the payment again and may notify the customer to update their payment information.
 
If an outstanding balance is not resolved, XYROS may suspend or restrict access to some or all services until the account is brought current.
 
Suspension for nonpayment does not eliminate amounts already due or other payment obligations incurred before suspension or termination.

 
 


12. Cancellation and Refunds

 
Customers may cancel recurring services in accordance with the cancellation provisions contained in their applicable Service Agreement, Order Form, or subscription terms.
 
Cancellation prevents future renewals after the applicable cancellation effective date but does not automatically refund amounts previously paid or charges already incurred.
 
Setup fees, implementation fees, subscription payments, usage charges, and other fees are non-refundable except where expressly stated otherwise in writing or where required by applicable law.
 
Any outstanding usage charges or other amounts incurred before the effective cancellation date remain payable.
XYROS may terminate or suspend services as permitted under these Terms or an applicable Service Agreement.

 
 



13. Client Responsibilities

 
Customers are responsible for their use of XYROS services and for the activities conducted through their accounts.
 
Customers are responsible for:
 

  • Providing accurate and current business and account information.

  • Maintaining appropriate access to connected systems and third-party accounts.

  • Reviewing and approving business information, workflows, messaging, forms, and other customer-facing content when applicable.

  • Obtaining any permissions, licenses, and consents required for customer data and communications.

  • Ensuring that their business practices and use of XYROS services comply with applicable laws and regulations.

  • Maintaining the security of credentials and promptly notifying XYROS of suspected unauthorized access.
     

XYROS is not responsible for delays or service limitations resulting from a customer’s failure to provide information, access, approvals, or cooperation reasonably required to deliver the services.

 
 


14. Customer Data and Content

 
Customers retain ownership of the business data, customer information, content, trademarks, materials, and other information they provide to XYROS or process through the services (“Customer Data”).
Customers grant XYROS the limited rights necessary to host, process, transmit, configure, and otherwise use Customer Data solely as reasonably necessary to provide, maintain, secure, support, and improve the services.
Customers represent that they have the necessary rights and lawful basis to provide and process Customer Data through the services.
XYROS’s handling of personal information is also subject to the applicable XYROS Privacy Policy and any additional data-processing terms agreed to between XYROS and the customer.

 

 

15. Acceptable Use

 
Customers may not use XYROS services to:
 

  • Send unlawful, deceptive, fraudulent, abusive, or unauthorized communications.

  • Send spam or communications to recipients where required consent has not been obtained.

  • Impersonate another person or business or misrepresent the origin of communications.

  • Upload or distribute malware, malicious code, or content intended to compromise systems or accounts.

  • Attempt to gain unauthorized access to XYROS systems or connected third-party services.

  • Interfere with the security, availability, or operation of the services.

  • Use the services for activities that violate applicable laws, regulations, telecommunications requirements, or third-party provider policies.
     

XYROS may restrict or suspend functionality when reasonably necessary to prevent abuse, protect customers or systems, comply with legal obligations, or satisfy requirements imposed by telecommunications providers or other service providers.

 

 


16. Email, SMS, and Telephone Communications

 
Certain XYROS services allow customers to send or automate email, SMS, MMS, telephone calls, and other communications.
 
Customers are responsible for ensuring that recipients have provided any consent required by applicable law and for honoring applicable opt-out, unsubscribe, do-not-call, and similar requests.
 
Message and data rates may apply to SMS or MMS communications. Recipients may opt out of applicable SMS communications by replying STOP or using another opt-out method provided in the communication.
 
XYROS may implement technical or compliance controls intended to protect messaging reputation, reduce abuse, or satisfy carrier and provider requirements.

 

 


17. Intellectual Property

 
Except for Customer Data and third-party materials, XYROS retains all rights, title, and interest in its proprietary technology, methodologies, configurations, templates, workflows, designs, documentation, processes, software, branding, and other intellectual property used to provide the services.
 
Purchasing or subscribing to a XYROS service does not transfer ownership of XYROS intellectual property to the customer.
 
Customers receive a limited, non-exclusive, non-transferable right to use the applicable services during the period in which their account remains active and in good standing, subject to these Terms and any applicable Service Agreement.
 
Customer-specific business data and materials provided by the customer remain the property of the customer.

 

 


18. Privacy and Data Protection


 
XYROS processes personal information in accordance with its Privacy Policy and applicable legal obligations.
 
Customers using XYROS services to collect, store, communicate with, or otherwise process information relating to their own customers, leads, employees, or other individuals are responsible for providing appropriate notices, obtaining required consents, and establishing any lawful basis required for their processing activities.
 
XYROS may use third-party service providers to process or store information as reasonably necessary to provide the services.

19. Service Availability and Changes

 
XYROS works to provide reliable services but does not guarantee that any service, feature, integration, communication channel, or third-party connection will be available without interruption or error.
 
Services may occasionally be unavailable or limited because of maintenance, updates, technical issues, telecommunications networks, internet providers, third-party platforms, security incidents, regulatory requirements, or circumstances outside XYROS’s reasonable control.
 
XYROS may make reasonable modifications to its services to improve functionality, security, reliability, compliance, or compatibility with third-party systems.

 

 


20. No Guarantee of Business Results

 
XYROS provides technology, automation, implementation, and related services intended to assist customers with their business operations.
 
XYROS does not guarantee any specific number of leads, appointments, customers, sales, revenue, conversion rate, cost savings, business growth, advertising performance, or other commercial result.
 
Business outcomes depend on numerous factors outside XYROS’s control, including the customer’s offer, pricing, market, sales process, advertising, personnel, response times, customer demand, and other business conditions.
 
No statement, demonstration, projection, case study, or estimate should be interpreted as a guarantee of future results.

 

 


21. Limitation of Liability

 
To the maximum extent permitted by applicable law, XYROS LLC and its owners, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings arising from or related to the use of, or inability to use, XYROS services.
 
To the maximum extent permitted by applicable law, XYROS’s total aggregate liability arising out of or relating to the services or these Terms will not exceed the total amount paid by the customer to XYROS during the three (3) months immediately preceding the event giving rise to the claim.
 
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

 

 


22. Indemnification

 
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless XYROS LLC and its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and reasonable expenses arising from or related to:
 

  • Your unlawful or unauthorized use of the services;

  • Customer Data, content, or materials provided by you;

  • Your communications with customers, leads, or other recipients;

  • Your violation of applicable laws, regulations, or third-party rights; or

  • Your material violation of these Terms or an applicable Service Agreement.
     

This obligation does not apply to the extent a claim results from XYROS’s own unlawful conduct or other liability that cannot legally be limited or shifted.

 

 


23. Suspension and Termination

 
XYROS may suspend, restrict, or terminate access to services when reasonably necessary because of nonpayment, material breach of these Terms or an applicable Service Agreement, unlawful activity, abuse, security risks, messaging or telecommunications violations, third-party provider requirements, or conduct that creates material risk to XYROS, its customers, or its infrastructure.
 
When reasonably practicable, XYROS may provide notice and an opportunity to resolve the issue before termination, except where immediate action is reasonably necessary for security, legal, compliance, fraud-prevention, or infrastructure-protection purposes.
 
Termination does not eliminate payment obligations or other liabilities incurred before the effective termination date.

 

 


24. Governing Law

 
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles.
 
Any dispute arising from these Terms or the services will be subject to applicable law and any dispute-resolution provisions contained in an applicable Service Agreement or other written agreement between the parties.

 

 


25. Changes to These Terms

 
XYROS may update these Terms from time to time to reflect changes to its services, business practices, legal requirements, or third-party platform requirements.
 
When changes are made, XYROS will update the effective or “Last Updated” date displayed on this page. Where required by applicable law or contract, XYROS will provide additional notice of material changes.
 
Continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

 

 


26. Severability and Entire Agreement

 
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
 
These Terms, together with any applicable Service Agreement, Order Form, proposal, supplemental terms, and policies incorporated by reference, constitute the applicable agreement between you and XYROS regarding the services covered by those documents.
